These Terms of Service ("Terms") are a binding agreement between Jobreel, Inc., a Delaware corporation doing business as Pluk ("Pluk," "we," "us"), and the company, organization, or individual that accepts these Terms ("Customer," "you"). By creating an account, installing the Pluk app in your Slack workspace, or using the Service, you accept these Terms. If you use the Service on behalf of an organization, you accept these Terms for that organization and represent that you have authority to bind it; if you do not have that authority, or do not agree to these Terms, do not use the Service.
Pluk is a software platform that helps teams identify potential job candidates, including candidates connected to team members' professional networks, shows how candidates are connected to a team's network, and facilitates outreach, through a web application and Slack ("Service").
Pluk is a software tool, not an employment agency, staffing firm, or recruiter. Pluk does not employ, place, screen, interview, or select candidates, does not make hiring decisions or recommendations to hire any particular person, and is not a party to any employment relationship between Customer and any candidate. Customer is solely responsible for its hiring decisions and for compliance with all laws applicable to its recruiting and hiring practices, including anti-discrimination and equal opportunity laws.
The Service is provided solely for identifying, evaluating, and contacting candidates for employment or engagement opportunities. Use of the Service, or of data obtained through it, for any other commercial purpose (including sales prospecting, lead generation, marketing, business development, fundraising, or sourcing founders or investment opportunities) is not permitted.
Customer must provide accurate account information and keep it current. "Users" means the individuals whom Customer authorizes to access the Service through a Pluk account. Chatting with and using the Pluk app in Slack requires a Pluk account. Customer is responsible for all Users' activity and for maintaining the confidentiality of credentials. The Service may be accessed through Pluk's web application and through Slack; access through Slack is also subject to Slack's own terms. Users must be at least 18 years old. The Service is currently offered only to Customers located in the United States.
"Customer Data" means data submitted to the Service by or on behalf of Customer, including Slack messages and reactions processed by the Pluk app, job descriptions, professional network data that Customer or its users connect to the Service (such as connection information from a professional networking platform), and messages sent or received through a connected professional network account in connection with candidate outreach. Customer retains all rights in Customer Data. Customer grants Pluk a non-exclusive, worldwide license to use Customer Data solely to provide, maintain, secure, and improve the Service.
Users may connect their professional network accounts to the Service through Pluk's account integration provider. Connecting an account is voluntary and may be done only by the individual User who holds it; Customer will not require or coerce any User to connect a personal account as a condition of employment or otherwise. By choosing to connect an account, the User and Customer authorize Pluk to access that account to: (a) retrieve the User's connection data; (b) run searches through the account, including automated searches performed on the User's behalf, to identify candidates and map first- and second-degree connections; and (c) read messaging threads to track recruiting outreach and replies. Pluk will not send any message or connection request of any type from a User's account without that User's approval. Customer is responsible for ensuring its Users understand the access described in this Section before choosing to connect their accounts.
"Third-Party Platform" means any software, platform, network, or service not provided by Pluk that is integrated with or otherwise accessible through the Service, including professional networking platforms, messaging services, and workplace communication tools. Customer is responsible for complying, and for ensuring its Users comply, with any terms and conditions of any Third-Party Platform that apply to their accounts, and for maintaining those accounts in good standing with the applicable provider. Pluk does not control any Third-Party Platform and is not responsible for its acts, omissions, availability, or policies. Pluk may modify, suspend, or disable any Third-Party Platform integration at any time, with or without notice, without liability to Customer; information already retrieved through an integration will remain available to Customer in the Service in accordance with these Terms and the Privacy Policy.
Customer represents and warrants that it has all rights, consents, and permissions necessary to provide Customer Data to Pluk and to authorize the processing described in these Terms and the Pluk Privacy Policy, including confirming that any User whose professional network account or network data is connected to the Service connected it voluntarily and consented to the access described in Section 3.2. Customer further represents and warrants that no Customer Data, and no use of the Service by Customer or its Users, will violate any terms of service, policies, or other agreements governing Customer's or its Users' accounts with any Third-Party Platform. Customer is responsible for ensuring its use of network data complies with applicable law and any third-party terms that apply to Customer.
The Service may enrich candidate profiles using data licensed from third-party providers. Pluk does not guarantee the accuracy, completeness, or currency of third-party data, and Customer should independently verify candidate information before relying on it.
The Service uses artificial intelligence to evaluate candidate fit, generate outreach content, and automate workflows. AI outputs may be inaccurate or incomplete. Customer is responsible for reviewing AI-generated content before relying on it or sending it to any person, and for all decisions made based on the Service's outputs.
Pluk is not a consumer reporting agency, and information provided through the Service does not constitute a "consumer report" under the Fair Credit Reporting Act (FCRA). The Service surfaces publicly available and network-derived professional information to help Customer identify and contact potential candidates. Customer will not use the Service as a background check, as a substitute for one, or as a factor in determining any person's eligibility for credit, insurance, or housing, and will comply with the FCRA and applicable law if it procures consumer reports from other sources in its hiring process.
The Service is provided on a per-seat subscription basis. Customer will pay Pluk a fee of two hundred dollars ($200) per seat per month ("Subscription Fee"). A "seat" means each individual User whom Customer authorizes to access the Service through a Pluk account or a connected professional network account. Customer will maintain a paid seat for each such User.
Subscription Fees are billed monthly in advance to the payment method on file or invoiced to Customer, and are due on the billing date or, if invoiced, within thirty (30) days of the invoice date. Seats added during a billing period are charged a prorated amount for the remainder of that period; seats removed take effect at the end of the then-current billing period. Except as expressly stated in these Terms or required by law, Subscription Fees are non-refundable. Late amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. Fees are exclusive of taxes; Customer is responsible for all applicable taxes other than taxes on Pluk's income.
Pluk may modify its fees or fee structure on at least thirty (30) days' notice. Changes take effect at the start of Customer's first billing period beginning after the notice period.
Customer will not, and will not permit anyone to: (a) use the Service to discriminate against candidates on the basis of any legally protected characteristic; (b) send spam, harassing, or deceptive messages through or based on the Service; (c) scrape, copy, resell, or redistribute data obtained through the Service, or use it to build a competing product or a candidate database for use outside the Service, except that Customer may share a candidate's profile with the company or organization for which it is recruiting or referring that candidate; (d) reverse engineer, decompile, or attempt to extract the source code, models, or prompts of the Service; (e) interfere with or disrupt the integrity or performance of the Service; (f) use the Service in violation of applicable law, including employment, privacy, and anti-spam laws; or (g) access the Service to benchmark it or for competitive analysis.
Pluk and its licensors own the Service and all related software, models, designs, and documentation, including all intellectual property rights. No rights are granted to Customer other than the limited right to use the Service as described in these Terms. Customer may provide feedback about the Service, and Pluk may use feedback without restriction or obligation. Pluk may use aggregated and de-identified data derived from use of the Service to improve the Service and for analytics, provided such data does not identify Customer or any individual.
Each party may receive non-public information of the other party that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and not disclose it to third parties except to employees, advisors, and contractors bound by confidentiality obligations at least as protective. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was known before disclosure, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information as required by law with reasonable notice to the other party where legally permitted.
Pluk's collection and use of personal information in connection with the Service is described in the Pluk Privacy Policy at pluk.ai/privacy. Where Pluk processes personal data on Customer's behalf and applicable data protection law requires it, the parties will enter into Pluk's data processing addendum, available on request.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLUK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. PLUK DOES NOT WARRANT THAT ANY CANDIDATE WILL BE SUITABLE, AVAILABLE, RESPONSIVE, OR HIRED, OR THAT ANY INFORMATION ABOUT A CANDIDATE IS ACCURATE OR CURRENT. PLUK IS NOT RESPONSIBLE FOR ANY THIRD-PARTY PLATFORM, FOR DELAYS, FAILURES, OR CHANGES ATTRIBUTABLE TO A THIRD-PARTY PLATFORM, OR FOR ANY ADVERSE ACTION TAKEN AGAINST CUSTOMER OR ITS USERS BY A THIRD-PARTY PLATFORM, INCLUDING ANY RESTRICTION, SUSPENSION, LIMITATION, OR TERMINATION OF THEIR ACCOUNTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE FEES PAID OR PAYABLE BY CUSTOMER TO PLUK IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (ii) ONE HUNDRED DOLLARS ($100). THE FOREGOING LIMITS DO NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, A PARTY'S INDEMNIFICATION OBLIGATIONS, OR EITHER PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
Customer will defend and indemnify Pluk against third-party claims arising out of (a) Customer Data, including any claim that Customer lacked rights or consents to provide it; (b) Customer's hiring practices or employment decisions; (c) messages Customer sends to candidates; (d) Customer's or its Users' use of any Third-Party Platform; or (e) Customer's violation of law or these Terms. Pluk will defend and indemnify Customer against third-party claims alleging that the Service, as provided by Pluk and used as permitted, infringes a U.S. patent, copyright, or trademark, except to the extent the claim arises from Customer Data, third-party data, or combination with materials not provided by Pluk. The indemnified party must give prompt notice, reasonable cooperation, and sole control of the defense to the indemnifying party.
These Terms apply from Customer's first acceptance or use of the Service and continue until terminated. Either party may terminate at any time on written notice (including by uninstalling the Pluk app and closing the account). Pluk may suspend or terminate access immediately for material breach, non-payment, or unlawful use. Sections 4 (with respect to fees accrued before termination), 6, 7, 9, 10, 11, 13, and 14 survive termination. Upon termination, Pluk will delete or return Customer Data in accordance with the Privacy Policy and any applicable data processing addendum.
Please read this section carefully. It requires arbitration of disputes and waives class actions.
Before filing a claim, each party agrees to notify the other in writing and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be finally resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, by a single arbitrator, in San Francisco, California (or remotely by agreement). Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this Section.
Either party may (a) bring an individual claim in small claims court, and (b) seek injunctive or equitable relief in court for infringement or misuse of intellectual property or Confidential Information.
All disputes must be brought in the parties' individual capacities, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate claims of more than one party.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. For matters not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
These Terms, together with the Privacy Policy and any ordering document or addendum, are the entire agreement between the parties regarding the Service and supersede prior agreements on that subject. Pluk may update these Terms by posting a revised version and, for material changes, providing at least thirty (30) days' notice; continued use after the effective date constitutes acceptance. Neither party may assign these Terms without the other's consent, except that Pluk may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. Neither party is liable for delays caused by events beyond its reasonable control. Pluk is an independent service and is not affiliated with, sponsored by, or endorsed by any Third-Party Platform, and references to any Third-Party Platform are for identification only. Notices to Pluk must be sent to support@pluk.ai; notices to Customer may be sent to the account email or via Slack.
